DESCRIPTION:

Support the acquisition process for small to medium domestic and/or international transactions. Develop preliminary acquisition models with guidance from senior team members and business units. Prepare materials for review by the investment committee and other senior management. Make recommendations for price negotiation. Coordinate the transaction process (due diligence activities, transaction documents and acquisition model). Engage with the integration teams to ensure that the business plan is properly implemented. Assist in group administration activities.

ESSENTIAL RESPONSIBILITIES & ACCOUNTABILITIES:

* Company Analysis: Evaluate financial, corporate and operating information about potential acquisition targets, and summarize opportunities for management.

* Financial Analysis: Build acquisition models in partnership with business units based on the information provided by target companies for review by internal teams.

* Acquisition Process: Support due diligence activities for ongoing transactions. Assemble the diligence team, coordinate diligence requests, liaise with external consultants, raise concerns to the appropriate team members, and help address issues. Participate in the transaction agreement reviews.

* Presentations: Prepare approval memos for the investment committee and presentations for senior management including group updates to the EMC, CEO, and the board.

* Integration: Work with the integration team (IT, operations, HR, etc) to help formulate an integration plan for acquired businesses and ensure proper implementation of the plan.

* Other: Assist in other group activities from time to time, including budget related activities, group updates, strategic planning, etc.

In addition to the essential duties and responsibilities listed above, all positions are also responsible for:

* Meeting company standards pertaining to quantity and quality of work performed on an ongoing basis, performing all work related tasks in a manner that is in compliance with all Company policies and procedures including WorldWide Business Standards.

* Adhering to Company policies, procedures, and directives regarding standards of workplace behavior in completing job duties and assignments.

Experience: 1-3 years of investment banking or corporate M&A experience

Education: Bachelor's degree in accounting, finance, business or related field

Specialized Knowledge and Skills:

* Process oriented with strong attention to detail

* Experience with financial modeling

* Excellent time management skills to adhere to project timelines and meet deliverables

* Strong interpersonal skills to effectively manage relationships cross organization and with external partners

* Excellent verbal and written communication skills

* Capable of working collaboratively in a team environment

* Ability to work with highly confidential information and display tact and discretion

* High Proficiency in Microsoft Office (Outlook, Excel, Word, PowerPoint)
